Accountants for portfolio landlords incorporating a lettings partnership

You run a lettings portfolio of roughly 10 to 40 properties with your spouse, civil partner or family as partners, the partnership has filed its own returns for years, and you are weighing a move into a limited company. That is a different problem from moving one or two personally held flats. Everything rests on a prior question: whether a partnership genuinely exists in law, and how long it has run. Both reliefs depend on the answer, partnership treatment for stamp duty under FA 2003 Schedule 15 and section 162 incorporation relief for the capital gain. Does a partnership actually exist, and since when?

Joint ownership of let property does not by itself create a partnership. The Partnership Act 1890 asks for people carrying on a business in common with a view of profit, and section 2(1) says co-ownership is not enough. What supports the position is the record: SA800 returns filed year on year, partnership accounts, joint borrowing, an agreement. Around two years of genuine operation is the working safe harbour. Schedule 15 and the sum of the lower proportions

On a transfer out of a genuine partnership to a connected company, chargeable consideration is market value reduced by the sum of the lower proportions. Where the partners are connected and the shares line up, that sum can reach 100% and the stamp duty falls to nil. Otherwise the balance is chargeable at residential rates plus the 5% surcharge, or at non-residential rates where six or more dwellings move together. Incorporation relief and the business test

Section 162 rolls the gain into the shares rather than taxing it on transfer, but only where a business moves as a going concern with all assets other than cash. Letting is not automatically a business: the evidence is active management across the portfolio. For transfers on or after 6 April 2026 the relief must be claimed, and that claim is due twelve months after the 31 January that follows the tax year of transfer. Lenders, consents and the refinancing cost

The company is a new borrower. Buy to let mortgages do not travel with the properties, so every charged property needs lender consent or a fresh company facility, usually at a different rate and with personal guarantees.

Running the company and drawing money out

Inside a company the finance cost restriction stops biting and profits meet corporation tax at 19% up to £50,000 and 25% above £250,000, with a marginal band between. The director's loan account created on incorporation can be drawn tax free until it runs out, after which dividends are taxed at 10.75%, 35.75% and 39.35% for 2026/27, against 8.75% and 33.75% on the first two bands the year before.

A partnership substance review before anything moves

Everything turns on the agreement, the SA800 filing history, the accounts, the borrowing and how decisions have been taken. Read together they show whether the partnership would stand up to an enquiry and from what date. Where the substance is thin, the review says what would have to change.
